ARTICLE
I - NAME
The name of this
club shall be the: WILLAMETTE PYGMY GOAT CLUB.
ARTICLE II - ADDRESS
The address of this
club shall be that of the Treasurer.
ARTICLE III - OBJECT AND PURPOSE

Non-profit club
to provide communication and shared enthusiasm for promoting pygmy
goats in our area.

To provide information
and education to its members and the general public.

To sponsor a
minimum of one NPGA sanctioned pygmy goat show per year.
ARTICLE IV - MEMBERSHIP
-
Any person/household
interested in the purpose of this club is eligible for membership
regardless of race, creed, etc.

A membership
shall be any person/household paying dues to the club.
-
A membership
entitles the holder to:
- A copy of the club By-Laws
- The club newsletter
- Be listed on club website
and to have club website linked to personal website.
- Free classified ads in
the newsletter (5-line maximum) and on the club web site (30 day limit)
for goat related items only.
- Single memberships are
entitled to one adult vote (18 & older) and a free tack pen at designated
club sponsored shows where available.
- Family memberships are
entitled to two adult votes (18 & older) and a free tack pen at designated
club sponsored shows where available.
ARTICLE V - DUES

Dues for this
club are $10.00 per Single membership per year, $15.00 per Family
membership per year, or $7.50 for newsletter only and no other club
privileges.

Renewals are
due January 1 of each year. If payment of said dues are not received
by January 1, membership and all rights and privileges shall be suspended
pending payment.
ARTICLE VI - MEETINGS
-
Business meetings
shall be held four times per year starting each year in January (weather
permitting), April, July and November. The next meeting place, time,
and date to be determined at the current meeting.

Nominations
for officers shall be held at the July meeting each year, with a mail-in
ballot or e-mail ballot distributed to club members by the club Secretary
within one week and requiring membership responses within three weeks
and announced at the November meeting. New slate of officers effective
January 1. -
Notice of agenda
items requiring membership voting must be mailed to membership at
least 30 days before the business meeting. Matters concerning club
business require a majority vote of the membership attending the business
meeting or submitting a legal proxy.

The published
30 day notice requirement can be bypassed should the Executive Committee
decide that emergency action is required by the membership.
ARTICLE VII - EXECUTIVE COMMITTEE

The Executive
Committee will consist of the President, Vice-President, Secretary,
and Treasurer.

Each executive
officer will be elected by the voting membership to serve a two year
term.
-
The Executive
Committee shall monitor and administer the objectives of these By-Laws
and any other member-approved procedures.
ARTICLE VIII - OFFICERS
In addition to
the responsibilities listed below, the officers shall perform all other
related responsibilities included in the club Rules & Regulations.

President: Shall
preside over business meetings.

Vice-President:
Shall assume the duties of the President whenever the President is
unable to perform duties.

Secretary:

Treasurer:
-
Shall collect
all monies due the club and pay all monies owed by club.

Shall prepare
and report a bi-monthly financial statement at all business meetings.

Shall prepare
and maintain records of all financial transactions.
ARTICLE IX - OTHER CLUB OFFICIALS
In addition to
the responsibilities listed below, the other club officials shall perform
all other related responsibilities included in the club Rules &
Regulations.

Newsletter Editor
-
Shall publish
club newsletter in accordance with these By-Laws and member-approved
procedures.

Shall attend
at least 50% of all club-sponsored functions. Failure to do so
may result in automatic replacement by the Executive Committee.

Shall serve
an indefinite term as long as satisfies membership and Executive
Committee.

Shall act
as club host/hostess for current, new, and potential members.

Shall serve
an indefinite term as long as satisfies membership and Executive
Committee.

Show Secretary
ARTICLE X - NEWSLETTER
-
The name of
the club newsletter shall be Willamette Pygmy Goat Club Newsletter.
-
The newsletter
shall be published on a bi-monthly basis and mailed to the membership
at least 30 days prior to the next business meeting.
ARTICLE XI - MAJORITY VOTE
-
Action agenda
items will require a majority vote of all members present at regular
business meeting and of proxies submitted by members as follows:

Member must
have been a member of the Willamette Pygmy Goat Club at least
1 year.
-
Member has
attended 50% of meetings held in last 12 months, including the
meeting previous to the meeting in which the proxy is to be used.
-
Proxy must
be a "yes" or "no" vote on a clearly-identified and specific agenda
item only.
-
Signed proxy
must be received by Secretary at least 24 hours before the meeting
in which proxy is to be used.
- Policy/Amendment
changes will require notification to all membership and a majority
vote of all responding members.
ARTICLE XII - FUNDS
-
All funds shall
be deposited to the account of the Willamette Pygmy Goat Club and
shall be dispersed as needed for the expenses and activities so voted
by the membership.

All checks and
cash withdrawals from the account shall be signed by the Treasurer
and designated appointee, designated by Executive Committee.
-
$100.00 maximum
for Treasurer; Executive Committee to authorize any amount in excess
of $100.00.
ARTICLE XIII - LIABILITY
Club members agree
not to hold the Willamette Pygmy Goat Club, its members, and its officers
liable for any loss or injury of any kind while participating in any
club functions or conducting any club business.
ARTICLE XIV - DISSOLUTION
The club may be
dissolved at anytime by the written consent of not less that two-thirds
(2/3) of the membership. Upon dissolution, after payment of all debts
and liabilities of the club, any remaining assets shall be transferred
to the states of Washington and Oregon 4-H programs, with the designation
that the money be used for the promotion of pygmy goats.
ARTICLE XV - MISCELLANEOUS
Members may from
time to time adopt such Rules and Regulations and such Procedures as
it may deem advisable, not inconsistent with these By-Laws.

by the Willamette Pygmy Goat Club membership mail ballot in December
1998.)
